Singapore Company Registration for Foreigners: 7 Things to Prepare Before You Apply
Can you register a Singapore company while living abroad? Yes. Foreign entrepreneurs can generally own all the shares in a Singapore private limited company without relocating to Singapore.
However, foreign ownership and local registration requirements are separate matters. Before submitting an incorporation application, you need to organise the company’s directors, registered office, ownership information and corporate documents.
Preparing these arrangements early helps avoid incomplete applications, unexpected service costs and misunderstandings about what incorporation provides.
This guide explains seven practical points to address before registering a Singapore company. For service information, visit our Singapore company formation page.
1. Decide Who Will Own the Company
A Singapore private company limited by shares, commonly called a Pte. Ltd., provides a separate legal entity with ownership represented by shares.
Foreign ownership is generally permitted, and an overseas founder does not usually need a Singapore shareholder merely to register an ordinary private company. Specific regulated activities may require additional assessment.
Before incorporation, decide:
- Whether the shareholders will be individuals, companies or a combination.
- How many shares each shareholder will hold.
- Whether all shares will carry the same rights.
- Whether additional investors are expected.
- Who will ultimately own or control the structure.
Where a corporate shareholder is involved, prepare its registration documents and ownership chain. The incorporation provider will need enough information to identify the relevant beneficial owners and complete its checks.
Ownership arrangements should reflect the commercial agreement from the beginning, particularly where several founders are contributing different amounts.
2. Arrange at Least One Locally Resident Director
A Singapore company must have at least one director who meets the local residence requirements.
An overseas founder may also become a director, subject to eligibility requirements. However, a board consisting entirely of directors who do not meet Singapore’s local residence rules will not satisfy the requirement.
This creates an important distinction:
You can generally own the company entirely from abroad, but the company still needs a qualifying locally resident director.
Where a founder does not have a suitable local director, a nominee director arrangement may be considered, subject to onboarding and acceptance.
What Should You Know About a Nominee Director?
A nominee director holds a legal office with statutory responsibilities. The appointment should therefore be supported by clear terms addressing responsibilities, access to information, permitted activities and termination.
Under Singapore’s corporate service provider framework, nominee director appointments made by way of business must be arranged through a registered Corporate Service Provider, which must assess whether the proposed director is fit and proper.
Discuss this requirement before requesting a final quotation, as it can materially affect the service scope and annual cost.
3. Organise the Company Secretary and Registered Office
These requirements serve different purposes and should be planned separately.
Company Secretary
A company secretary must be appointed within six months of incorporation and must meet the relevant local residence requirements.
The sole director cannot also act as company secretary.
The secretary supports the company’s statutory administration. Agree which services are included, who will maintain the records and how changes in the company will be communicated.
Registered Office
The company must have a registered office address in Singapore from incorporation.
This is the official address for communications and legal notices. It does not have to be the same location where the business performs its activities.
The registered office must be open and accessible to the public for at least three hours during ordinary business hours on each business day.
An address service should therefore include appropriate arrangements for receiving and handling official correspondence.

4. Choose Appropriate Share Capital
ACRA states that a company requiring share capital needs at least S$1 in share capital to start.
However, the statutory starting amount and the company’s practical funding needs are different questions.
Before registration, consider the expenses the company expects to incur, including professional services, technology, suppliers and any operating commitments.
It is also important to distinguish:
| Term | Meaning |
|---|---|
| Share capital | The amount shareholders have committed to invest through their shares |
| Paid-up share capital | The amount actually paid for those shares |
| Government fees | Charges paid for registration transactions |
| Service fees | Charges for incorporation assistance and ongoing services |
Share capital is company funding; it is not the incorporation provider’s fee.
Some activities, licences or commercial arrangements may require a different funding level. Choose the capital structure to suit the intended business rather than relying solely on the minimum.
5. Prepare the Name, Activities and Constitution
A clear application begins with an accurate description of the business.
Company Name
The proposed name must be approved and reserved before incorporation. Prepare alternatives in case the preferred name is unavailable or requires additional review.
An approved name is reserved for up to 120 days, within which the registration should be completed.
Business Activities
Singapore uses Singapore Standard Industrial Classification, or SSIC, codes to describe business activities.
Choose the code that best represents the intended principal activity, together with an appropriate secondary activity where relevant.
A broad label such as “international business” may not provide enough detail. Explain what the company will sell, what services it will perform and where its customers will be.
Name approval and incorporation do not themselves grant permission to conduct a regulated business.
Company Constitution
A constitution forms part of the incorporation application. A company may adopt an appropriate model constitution or prepare a customised version.
Where founders need particular voting rights, share transfer provisions or investor arrangements, review those requirements before accepting standard documents.
6. Complete Identification and Ownership Checks
Foreign founders should expect identity verification and questions about the proposed business before the registration application is submitted.
The exact documents depend on the ownership structure and the provider’s assessment. Common requests include:
- Passport or other acceptable identification.
- Proof of residential address.
- Details of directors, shareholders and ultimate controllers.
- Corporate documents for company shareholders.
- An explanation of the business and expected transactions.
- Supporting source-of-funds information where required.
Ask which documents need certification or translation before arranging either.
The company must also address applicable controller and nominee register requirements. Using a nominee arrangement does not remove disclosure responsibilities.

7. Plan Banking, Tax Residence and Ongoing Administration
Registration creates the company. Several practical arrangements still need separate attention.
Banking and Payment Services
Identify the intended financial institutions early. Their requirements may depend on the owners’ residence, business activities, customer countries and expected transactions.
Prepare a concise business explanation and supporting documents.
A registered company does not automatically qualify for every bank account or payment service. Account opening follows the institution’s own assessment.
Tax Residence
Singapore incorporation and Singapore tax residence are not automatically the same.
IRAS determines a company’s tax residence by where its control and management are exercised. This concerns strategic decision-making and the actual management arrangements.
A Singapore registered office or local director appointment alone should not be treated as proof that the company qualifies as Singapore tax resident.
Review the management plan and overseas tax implications before relying on a particular tax outcome.
Annual Administration
Agree who will coordinate corporate records, annual filings, accounting and applicable tax returns.
Also establish how the company will notify its service providers about changes in activities, ownership, directors or addresses.
These responsibilities should be clear before the company starts entering contracts and receiving funds.
What Does Singapore Company Registration Cost?
Ask for a quotation that separates government fees from professional services.
ACRA’s published fees are S$15 for a name application and S$300 for company registration. These are government charges, rather than the total cost of a professionally supported formation.
Depending on the proposed arrangements, service costs may include:
- Incorporation preparation and filing.
- Registered office services.
- Company secretarial services.
- A locally resident director arrangement.
- Accounting and compliance support.
- Additional document review or certification.
Compare the initial formation cost and the recurring annual commitment. This provides a more useful basis for budgeting than a headline registration price.
How Long Does Registration Take?
ACRA states that most company registrations are approved soon after payment. Complex applications may take up to 15 working days, while applications requiring referral authority approval may take 14–60 days.
Those processing periods should be distinguished from the time needed to prepare the application.
Document collection, identity checks, director arrangements and questions about the business can affect the overall schedule. Bank account opening has its own process.
The most effective preparation is a complete and consistent application supported by a clear business explanation.
